Terms of Service

Please read these terms carefully before using our platform

1. Acceptance of Terms

By accessing or using HIPAA Certify ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including organization administrators and employees completing training.

2. Description of Service

HIPAA Certify provides:

  • Online HIPAA workforce training modules
  • Knowledge assessment quizzes
  • Completion tracking and reporting
  • Certificate generation
  • Administrative tools for managing employee training

Important: Our training is designed to educate healthcare workforce members about HIPAA requirements. It is not a substitute for legal advice or comprehensive compliance programs. Organizations are responsible for ensuring their complete HIPAA compliance.

3. Account Registration

3.1 Organization Accounts

To use our Service, you must register an organization account and provide accurate, complete information. The person registering the account represents that they have authority to bind the organization to these Terms.

3.2 User Accounts

Organization administrators may create accounts for employees. Each user is responsible for maintaining the confidentiality of their login credentials and for all activities under their account.

3.3 Account Security

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. Subscription and Payment

4.1 Free Trial

New organizations receive a 14-day free trial. A valid payment method is required to assign training to employees during the trial period.

4.2 Subscription Plans

Our subscription plans are based on the number of employees in your organization. Current pricing is available on our website and is subject to change with notice.

4.3 Billing

Subscriptions are billed monthly in advance. All fees are non-refundable except as expressly stated in these Terms or required by law.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Share login credentials with unauthorized users
  • Attempt to gain unauthorized access to any part of the Service
  • Copy, modify, or distribute our training content without permission
  • Use automated systems to access the Service (bots, scrapers, etc.)
  • Interfere with or disrupt the Service or servers
  • Impersonate another person or entity
  • Complete training on behalf of another person

6. Training Completion Requirements

6.1 Quiz Requirements

Employees must achieve a minimum passing score of 80% on each section quiz to receive credit for completing that section. Unlimited retakes are permitted.

6.2 Certificates

Certificates are issued upon successful completion of all training sections. Certificates are valid for the period specified and should be renewed as required by your organization's policies.

6.3 Training Records

We maintain training completion records for compliance purposes. Organizations may export these records at any time.

7. Intellectual Property

7.1 Our Content

The Service and its original content, features, and functionality are owned by HIPAA Certify and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your organization's internal training purposes only.

7.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our training content without express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Completing our training guarantees HIPAA compliance

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIPAA CERTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to your data
  • Any HIPAA violations or regulatory penalties
  • Any third-party conduct on the Service

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless HIPAA Certify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

12. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
